The board is supposed to be insulation between politics and education
Replacing them all at once with no approval process puts the university in pretty much the sole hand of the governor. I find that to be a very bad idea. You may or may not like a particular governor, but there will definitely be one that comes along that you think does great damage. Making their control over the board of governors more gradual protects against that. The governors have enough control already in the budget process.
