I believe at the time Penn had its own TV contract

so I don't believe the restraint in trade had to do with schools not being able to sign with someone. I believe it had to do with the NCAA deciding which football games could be aired on TV in a given weekend.

If ESPN did end up with the rights to all the P5 conference networks, then don't be surprised if CBS, Fox, and/or NBC sued ESPN for violating antitrust laws because ESPN locked up all the conference networks to long-term contracts regardless of what is going on with any G5 conference networks. Now it is possible that ESPN can avoid it if the conferences are able to enter into other deals to broadcast games (i.e. SEC's deal with CBS). It isn't clear how the courts would rule on the issue about conference networks since the concept didn't exist in the 1980s.
